Welcome to Shoputo! These Terms and Conditions ("Terms") govern your access to and use of the Shoputo website (shoputo.com), mobile application, and related services (collectively, the "Platform"). The Platform is operated by Shoputo Technologies. ("Shoputo," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules posted on the Platform. If you do not agree with these Terms, you must not use the Platform.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Effective Date" above. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

1. User Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements. We reserve the right to terminate or restrict access for users who violate this section.

2. User Accounts

- Registration: To purchase products or services as a buyer, or to sell as a vendor, you must create an account. You agree to provide accurate, current, and complete information during registration and to update it as necessary.
- Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@shoputo.com of any unauthorized use.
- Vendor Accounts: Vendors must comply with additional seller guidelines, including product listing rules, quality standards, and commission structures outlined in our Vendor Agreement.

3. Multi-Vendor Marketplace

- The Platform connects buyers with independent third-party sellers ("Vendors"). Shoputo is not a seller or reseller of products; we facilitate transactions between users.
- Product Listings: Vendors are responsible for the accuracy, quality, and legality of their listings. Shoputo does not endorse or guarantee any products or services.
- Reviews and Ratings: User-generated content like reviews must be honest and non-abusive. We may remove content that violates these Terms.

4. Orders and Payments

- Placing Orders**: All purchases are subject to availability and confirmation. We reserve the right to cancel or refuse orders at our discretion.
- Pricing**: Prices are as displayed on the Platform, excluding taxes, shipping, or additional fees, which will be shown before finalizing your order. We may correct pricing errors.
- Payments: Payments are processed securely through third-party gateways. You authorize us to charge your payment method for completed transactions. All sales are final unless otherwise stated in our Returns Policy.
- Taxes and Fees: You are responsible for any applicable taxes, duties, or fees.

5. Shipping and Delivery

- Delivery times and methods vary by Vendor and location. Estimated delivery dates are not guarantees.
- Risk of loss transfers to you upon delivery to the carrier. Track shipments via the Platform.
- For quick-delivery services, we aim for rapid fulfillment, but delays may occur due to unforeseen circumstances.

6. Returns, Refunds, and Warranties

- Returns: Eligible items may be returned within 3-7 days (depending on category) for a refund or exchange, subject to our Returns Policy. Vendors handle returns for their products.
- Refunds: Processed to your original payment method within 5-10 business days. Shipping costs may not be refunded.
- **Warranties: Products are sold "as is" unless the Vendor provides a specific warranty. Shoputo disclaims all implied warranties.

7. Intellectual Property

- All content on the Platform, including text, graphics, logos, and software ("Shoputo Content"), is owned by Shoputo or our licensors and protected by copyright, trademark, and other laws.
- You may not reproduce, distribute, or create derivative works from Shoputo Content without our written permission. Vendors grant us a license to display their listings and content.

8. Prohibited Conduct

You agree not to:
- Use the Platform for unlawful purposes or in violation of any applicable laws.
- Post false, misleading, or harmful content; harass others; or infringe on third-party rights.
- Attempt to gain unauthorized access, interfere with the Platform, or use bots/scrapers.
- Sell prohibited items (e.g., illegal goods, counterfeit products, or hazardous materials).

Violations may result in account suspension, content removal, or legal action.

9. Termination

- We may suspend or terminate your account at any time for violations of these Terms, with or without notice.
- Upon termination, your right to use the Platform ends, but obligations (e.g., payment for orders) survive.

10. Limitation of Liability

- To the fullest extent permitted by law, Shoputo is not liable for indirect, incidental, or consequential damages arising from your use of the Platform.
- Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim.
- We do not guarantee uninterrupted or error-free service and disclaim liability for Vendor products or third-party actions.

11. Indemnification

You agree to indemnify and hold Shoputo harmless from claims arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

12. Governing Law and Dispute Resolution

- These Terms are governed by the laws of India, without regard to conflict of laws principles.
- Any disputes shall be resolved exclusively in the courts of Igatpuri jurisdiction ,Nashik ,India. You waive any right to class actions or jury trials.

13. Force Majeure

We are not liable for delays or failures due to events beyond our control, such as natural disasters, strikes, or pandemics.

14. Miscellaneous

- These Terms constitute the entire agreement between you and Shoputo.
- If any provision is invalid, the remainder remains in effect.
- No waiver of any term is a continuing waiver.
